Terms of Service

1. Acceptance of Terms

By creating an account, joining the waitlist, booking a demo, or otherwise accessing the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a hotel or business entity, you represent that you have the authority to bind that entity to these Terms.

2. Definitions

• "Customer" means the hotel, property, or business entity that subscribes to the Service.
• "User" means an individual authorized by the Customer to access the Service (e.g., owner, manager, staff).
• "Hotel Data" means data submitted to the Service by Customer or its Users, including booking, billing, guest, and operational data.
• "Subscription" means the paid plan that grants access to the Service.

3. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to use the Service. The Service is intended for use by hotel and hospitality businesses operating lawfully in their jurisdiction.

4. Account & Security

• You agree to provide accurate, current, and complete information when creating an account.
• You are responsible for maintaining the confidentiality of credentials and for all activity under your account.
• You must notify us promptly at support@stayos.in of any unauthorized access or security incident.
• You are responsible for the actions of all Users you authorize.

5. License & Acceptable Use

Subject to these Terms and your payment of applicable fees, StayOS grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for the internal business operations of your hotel.

You agree not to:

• Reverse engineer, decompile, or attempt to extract the source code of the Service.
• Resell, sublicense, or commercially exploit the Service except as expressly permitted.
• Use the Service to send unsolicited or unlawful communications, including spam or messages that violate WhatsApp / Meta policies.
• Upload malicious code, attempt to gain unauthorized access, or interfere with the Service's security or integrity.
• Use the Service in violation of applicable law or third-party rights.
• Scrape, crawl, or systematically harvest data from the Service without our written consent.

6. Subscription & Billing

• Subscription fees, billing frequency, and any applicable discounts (including Founding Partner pricing) will be set out in your order form or subscription plan.
• All fees are exclusive of taxes unless stated otherwise. You are responsible for all applicable taxes (including GST).
• Unless otherwise stated, Subscriptions auto-renew at the end of each term. You can cancel renewal in line with your plan's terms.
• Late or unpaid fees may result in suspension or termination after reasonable notice.
• Refunds, where offered, are governed by your specific subscription plan; in the absence of a stated refund right, fees are non-refundable.

7. Hotel Data Ownership

As between you and StayOS, you retain all rights, title, and interest in your Hotel Data. You grant us a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display Hotel Data solely as necessary to provide and improve the Service, support you, comply with legal obligations, and enforce these Terms.

You represent that you have all necessary rights and consents (including from guests) to submit Hotel Data to the Service and to allow us to process it as described in our Privacy Policy.

8. Intellectual Property

The Service, including all software, designs, logos, trademarks (including "StayOS" and "SlashEasy"), and content we provide, is owned by SlashEasy Solutions LLP or its licensors and is protected by intellectual property laws. No rights are granted to you except as expressly set out in these Terms.

If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction.

9. Third-Party Services

The Service integrates with third-party services such as the WhatsApp Business Platform (Meta), payment gateways, and analytics providers. Your use of those integrations may be subject to the third party's own terms. We are not responsible for the acts, omissions, availability, or content of third-party services.

10. Service Availability

We aim to keep the Service available on a continuous basis but do not guarantee uninterrupted access. Maintenance, upgrades, third-party outages, or events outside our reasonable control (force majeure) may affect availability. Specific service-level commitments, if any, will be set out in your order form.

11. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation. To the maximum extent permitted by law, StayOS disclaims all such warranties.

12. Limitation of Liability

To the maximum extent permitted by law, in no event shall StayOS, SlashEasy Solutions LLP, or our affiliates, officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, business opportunity, or goodwill, arising out of or in connection with the Service.

Our aggregate liability arising out of or relating to the Service shall not exceed the total fees paid by you to StayOS in the twelve (12) months immediately preceding the event giving rise to the claim. If you have not paid any fees, our aggregate liability shall not exceed INR 10,000.

13. Indemnification

You agree to indemnify, defend, and hold harmless StayOS and SlashEasy Solutions LLP from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of (a) your or your Users' use of the Service, (b) your Hotel Data, (c) your violation of these Terms or applicable law, or (d) your violation of any third-party right (including guest privacy rights or WhatsApp / Meta policies).

14. Termination

• By you: you may stop using the Service and cancel your Subscription at any time, subject to your plan's terms.
• By us: we may suspend or terminate your access immediately if you breach these Terms, fail to pay fees, or use the Service in a way that creates legal or security risk for us, our other customers, or third parties.
• Effect of termination: licenses granted to you cease. We may retain Hotel Data for a reasonable period to comply with legal obligations, after which it will be deleted in accordance with our Privacy Policy. Provisions that by their nature should survive termination (including IP, disclaimers, liability, indemnity, governing law) will survive.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict-of-law principles. Subject to Section 16, the courts located in Ahmedabad, India shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms.

16. Dispute Resolution

The parties shall first attempt to resolve any dispute amicably through good-faith discussions. If the dispute is not resolved within 30 days, either party may pursue available legal remedies in the courts identified in Section 15. Nothing in this section limits a party's right to seek injunctive or equitable relief.

17. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date and, for material changes, take reasonable steps to notify you. Continued use of the Service after the effective date of the revised Terms constitutes acceptance.
